On behalf of the Board of Directors, we are pleased to invite you to the 2026 Annual Meeting of Shareholders of Ticonderoga Golf Corporation.
The meeting will be held at 3:00 p.m. on Friday, August 28, 2026, at Ticonderoga Golf Club. A complimentary food and beverage reception will be available before and after the meeting, and we encourage you to stay and visit with fellow shareholders and members of the Board.
To make voting more convenient, shareholders who have provided an email address will receive voting instructions and a secure voting link from:

Shareholders who have not provided an email address will receive their meeting notice and voting materials by regular U.S. mail. We encourage you to vote online or return your completed proxy using the enclosed self-addressed envelope in advance of the annual meeting.
Board of Directors Candidates
The Board recommends the election of three directors: Dave Arthur, Don Henderson, and Scott Hearburg (re-election). Additionally, the board will be appointing Jim Siplon to replace Marty Fitzgerald’s vacated board position.
Special Shareholder Proposal
At this year’s Annual Meeting, shareholders will be asked to consider a one-time $500 capital assessment. Shareholders owning multiple shares would pay only one assessment, ensuring all shareholders participate equally regardless of the number of shares owned.
If approved, the assessment would generate up to $190,000, with every dollar restricted exclusively for capital improvements and other long-term investments approved by the Board of Directors. None of the proceeds may be used for day-to-day operating expenses.
We face the reality that much of our golf course maintenance equipment has reached, or is nearing, the end of its useful life. At the same time, additional capital investments will be necessary to preserve, protect, and enhance our facilities. These essential investments cannot be funded through normal operating cash flow alone and will require dedicated capital resources.
The Board believes this proposal is the most responsible and equitable way to begin addressing these needs while protecting the long-term financial strength of Ticonderoga Golf Club.
If approved, the assessment will help the Club:
Replace aging golf course maintenance equipment.
Fund critical capital improvements.
Strengthen the Club’s long-term financial position.
Protect and enhance the value of Ticonderoga Golf Club for current and future shareholders.
The Board is committed to being responsible stewards of these funds. Capital projects will be carefully prioritized and managed to ensure every dollar provides lasting value to the Club and its shareholders.
After careful consideration, the Board of Directors unanimously recommends approval of this proposal.
This year’s meeting will also recognize two outstanding Board members who are concluding six years of dedicated service. Jay Shattuck and Tim Woods have devoted countless volunteer hours to strengthening our Club, and we sincerely thank them for their leadership and commitment.
During the meeting, we will review the Club’s financial and operating performance, highlight accomplishments from the past year, discuss the challenges that remain, and share our priorities for the future.
